Job Description:

Work with the Corporate Finance team to advise on M&A, capital raisings and provide strategic advisory. Advise on often transformational M&A and complex financing (loans, bonds, equity) transactions. Lead preparation of presentations/pitch books regarding advisory on acquisitions, mergers, disposals, strategic reviews, integrated debt, equity, and risk mitigation solutions. Lead preparation of industry analysis, target lists, buyer lists, financing solutions, (implied) rating profile and peer group analysis. Actively support deal generation through continuous dialogue with (other) senior team members, relationship managers and other originators within departments like DCM, Syndications, Financial Markets, Sector Teams, Acquisition Finance, Risk and Corporate Lending. Prepare complex financial models, presentations/pitch books regarding strategic advisory and integrated debt, equity and risk mitigation solutions, and industry, (implied) rating profile and peer group analysis. Assist and analyze due diligence information and review transaction documentation. Pro-actively lead and support the execution of transactions, closely monitoring all relevant workstreams while guiding and mentoring junior deal team members. Safeguard seamless execution of transaction processes. Assist in and review credit analyses and writing of credit applications. Maintain active contacts with other departments/disciplines within ING and relevant third parties. Stay on top of recent industry developments and effectively monitor activity in relevant sectors. Develop creative solutions and enhance idea replication across Wholesale Banking based on an integrated multiproduct approach.

Minimum Requirements:

Master’s degree or foreign equivalent in business, or any engineering field and minimum 2 years of analyst or associate level banking experience working with M&A and capital structuring transactions. Must have experience working with: financial restructurings and multi-product capital raisings re-financings; capex programs impacting balance sheet structure; liability diversification advisory; full life cycle of financial transactions including origination, structuring, and execution; preparing integrated debt, equity and risk mitigation solutions pitch books, and peer group analysis; performing complex data analysis, visualization, and financial due diligence; rating processes to advise on feasibility of financing transactions; developing detailed merger, valuation, and multi-product financing models; Excel VBA and building applicable macros; and assessing businesses and transaction valuations through DCF, LBO, DDM, CTA and CCA models.
