ING Legal Wholesale Banking in Amsterdam is seeking an enthusiastic and pragmatic lawyer to join the Legal Capital Markets & Treasury team, an international team of highly skilled lawyers. 

The team

  • The Legal Capital Markets & Treasury team consists of 13 international lawyers with a global experience in capital markets.
  • We also form a virtual team with legal colleagues in London, Brussels, Singapore, New York, and Frankfurt.
  • Our team is responsible for supporting (global) capital markets (DCM, ABS, ECM), treasury, corporate finance and corporate investment departments in ING.
  • We contribute to various innovation initiatives such as automation and AI tools integration.
  • We participate in legal committees of (international) banking associations.
  • Our team is part of ING Legal WB, supporting ING wholesale business lines, and our department consists of approximately 55 lawyers. 

Roles and responsibilities

  • You will be responsible for advising the GCM (DCM, ECM, ABS) and CF bankers on legal and documentation matters related to bond issues, IPOs, secondary offerings, share buybacks, securitizations and other structured finance transactions;
  • You will support the issuance of vanilla and structured products for public and private investors;
  • Answer a wide variety of questions from bankers and outside counsel that arise during a transaction;
  • Drafting of contracts such as NDAs, Engagement Letters, and Final Terms for private placements;
  • Review and negotiate underwriting agreements, subscription agreements, legal opinions, comfort letters, and other transaction documents;
  • Horizon scanning of regulatory developments regarding Prospectus Regulation, MIFID, MAR, ESG, and others;
  • Contact and instruct external parties, such as outside legal counsel; and
  • Identify and manage legal and reputational risk.

  • Minimum experience of 4-6 years as a lawyer or in-house counsel at a bank in the field of capital markets, corporate Law, or M&A;
  • A Master's degree in Law from a reputable university (Dutch Law preferred);
  • Transaction management skills;
  • Proven ability to work in larger teams/organizations;
  • Strong analytical skills and is pragmatic, flexible, and a good communicator; 
  • Excellent verbal and written communication skills in English; and
  • The ability to prioritize multiple projects and deadlines in a fast-paced work environment.
